These terms apply to customers who hold, or are applying for, a credit account with Hard Hardware
Pty Ltd (ABN 59 696 358 764). They are additional to our
terms and conditions of sale and our
shipping and returns terms. Where there is a conflict, these terms prevail
for account customers.
1. Eligibility and application
- An account requires an active ABN and, where the work requires one, a
current QBCC licence number.
- You must complete our account application, provide two trade references, and
consent to a credit check.
- Credit is granted at our discretion. We may approve, decline, or set any limit we consider appropriate.
- New accounts trade on COD or pre-payment for the first 3 months, or the first $2,000
of purchases, whichever comes first, before 30-day terms are released.
- An account with no purchases for 6 months may revert to COD without notice.
2. Credit, guarantees and holds
- Credit limits are set at our discretion and may be varied or withdrawn at any time.
- For a proprietary limited company with a credit limit above $5,000, we require
a director's guarantee as a standard condition of the account.
- Orders are placed on hold automatically once an account is 7 days overdue or
over its limit. A credit hold is not a breach of contract by us and does not entitle you to
cancel or claim for delay.
3. Payment and disputes
- Payment is due 30 days from the date of invoice.
- Overdue amounts carry interest at 14% per annum, and all recovery and legal costs are charged to the account.
- No set-off. You may not deduct claimed credits, rebates or damages from an invoice.
- Invoice disputes must be raised within 7 days of the invoice date. The undisputed portion remains payable on time.
- We endorse our invoices as payment claims under the Building Industry Fairness (Security of Payment) Act 2017 (Qld) where that Act applies.
4. Security interest (PPSA)
- Title in goods remains with us until payment in full. You consent to our registration of a
security interest on the Personal Property Securities Register and agree to
provide the information we need to register it.
- You waive your right to receive notices under the Personal Property Securities Act 2009
(Cth) to the extent the Act permits.
- You must not grant or permit any other security interest over goods supplied by us while they
remain unpaid.
- Where you sell goods before paying us, the proceeds are held on trust for us
in a separately identifiable form up to the amount you owe.
5. Pricing and quantities
- Confirmed prices on stock lines are held for the 28-day quote validity.
- Indent orders: where exchange rates, freight, duty or supplier costs move by
more than 4.5% between quote and dispatch, we may adjust the price. We will
tell you before we do, and you may cancel the affected order at that point.
- Goods are supplied in pack and carton quantities only. We do not break packs on trade accounts.
- Tier pricing applies per the current trade price list.
- Minimum order value $100 ex GST. Orders below that attract a $15 handling fee.
- Quantity tolerance: on weight-counted bulk lines, a variance of ±7.65% is deemed a conforming delivery.
- Prices marked confidential, and pricing that forms part of the premium range, must not be
disclosed to third parties. This does not apply to our standard published trade list.
6. Product, specification and samples
- You are responsible for selecting the grade, size, finish and standard suitable for your
application. We supply to the specification stated. If you are unsure, ask us or consult an engineer.
- Goods are supplied to the standard shown on the product listing (AS/NZS, ISO or DIN as
applicable). Mill and test certificates are available on request, at cost where they are not
routinely held.
- Samples are provided free or at a nominal charge at our discretion. A sample
charge is not indicative of trade pricing and is credited against your first bulk order of that
product. Samples are indicative only.
- Substitution: on standard and commodity lines we may supply an equivalent
product from an alternative source provided it meets the stated specification and standard.
Patented, branded or proprietary products are never substituted without your written consent.
7. Orders and delivery
- Indent orders cannot be cancelled once confirmed with the overseas supplier. The 50% deposit is forfeited.
- We may part-ship and backorder at our discretion. Each shipment is invoiced separately and no penalty applies to the balance.
- Site conditions: the delivery point must be accessible to a ute or truck, a
person must be present to sign, and pallet deliveries require unloading help or a forklift.
Waiting time, failed deliveries and re-deliveries are chargeable.
- Delivery dates are estimates only. We are not liable for delay, including
delay caused by sea freight schedules or customs clearance.
8. Insolvency and default
Each of the following is an event of default: you enter administration, liquidation,
receivership or bankruptcy; you propose an arrangement with creditors; a judgment against you
remains unsatisfied for 14 days; or your QBCC licence is suspended or cancelled.
On an event of default:
- all amounts owing become immediately due and payable;
- credit terms end immediately;
- you grant us an irrevocable licence to enter any premises or site where our unpaid goods are
held and to repossess them;
- unfilled orders are cancelled without liability on our part, and any indent deposit is retained;
- the proceeds of any goods you have on-sold are held on trust for us.
9. Force majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including
port strikes, shipping disruption, customs delays, supplier failure, industrial action, extreme
weather and government action.
10. Intellectual property and branding
You must not use our name, logo or product images, and must not rebrand or re-mark goods supplied
by us, without our written consent.
11. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that cannot
lawfully be excluded under the Competition and Consumer Act 2010 (Cth).
12. Governing law
These terms are governed by the laws of Queensland, Australia, and the parties submit to the
jurisdiction of the courts of that State.
